Eyelo SA, a Swiss corporation based in Lausanne, Switzerland (UID: CHE-108.174.302), operates the Sealarca service.

2. Purpose

These General Terms and Conditions (GTC) govern the use of the sealarca.ch website and the Sealarca service operated by Eyelo SA. The service may be used in particular through Sealarca Desk, Sealarca Bridge or the Sealarca API. Vault refers to the protected execution environment used by the relevant routes. By using the site or service, the user accepts these GTC.

3. Description of Services

Eyelo SA provides:

  • The Sealarca service, accessible in particular through Sealarca Desk, Sealarca Bridge or the Sealarca API.
  • A catalogue of artificial intelligence models, whose currently published models are accessible through Vault routes.
  • An account area for managing keys, usage, credits, and payments.
  • A prepaid CHF credit system debited according to actual usage and the rates published for each model.

Eyelo SA does not necessarily develop the foundation models accessible through the service. Sealarca provides access to those models through Vault routes governed by the common Vault standard and applicable contractual conditions.

4. Access to Services

Access to the service requires an account, a valid API key, and sufficient credit balance. Payments are processed by Stripe. Eyelo SA may refuse, limit, or suspend access in the event of abusive or unlawful use, risk to the service, or non-compliance with these GTC.

5. Authorized Use

The user agrees to use the service in compliance with:

  • Applicable law and the user’s professional, contractual, and regulatory obligations.
  • The licenses and terms applicable to the models and Vault routes used.
  • Technical limits, security rules, and restrictions documented by Eyelo SA for the service and Vault routes.
  • The rights, authorizations, and legal bases required to transmit the data submitted, including any third-party, confidential, or regulated data.

Any fraudulent or abusive use, attempt to circumvent security, dissemination of unlawful content, or infringement of third-party rights is prohibited.

6. Vault Routes and Service Execution

Sealarca operates an artificial intelligence service accessible in particular through Sealarca Desk, Sealarca Bridge or the Sealarca API. Vault routes execute the requests addressed to them in the protected Vault execution environment. The common safeguards of this environment are defined in the common Vault standard.

The resources required for execution are allocated dynamically within a decentralized compute infrastructure, within the scope of the common Vault standard and applicable contractual conditions. Processing countries, any subprocessors, and specific conditions are communicated in the contract and, where applicable, the DPA. To the extent permitted by law, Eyelo SA does not guarantee:

  • The continuous availability of a particular model or route.
  • That location, retention, or processing conditions will be identical across all Vault routes.
  • The absence of errors, inaccurate content, or malfunctions arising from the models used.
  • That the features, capabilities, prices, licenses, or conditions applicable to a route will remain unchanged.

The user acknowledges that artificial intelligence models may produce inaccurate, incomplete, or unpredictable results, commonly referred to as “hallucinations.”

7. Payment, Credits, and Withdrawal

Credit top-ups are paid through Stripe on sealarca.ch. Prices are stated in CHF and usage is debited according to the selected model and displayed rates. No subscription is required. The total price, applicable taxes, and any fees are shown before payment is confirmed.

Right of withdrawal and service activation:

Swiss law does not provide a general right of withdrawal for services purchased online. Subject to applicable mandatory provisions, activated or consumed credits are not refundable. Where a statutory right of withdrawal applies, it remains fully reserved. By requesting immediate credit activation, the user asks that performance of the contract begin without delay. If a valid withdrawal is exercised after performance has begun, Sealarca may charge or deduct the proportion of the service already provided or consumed, to the extent permitted by law.

8. Absence of Warranty

Eyelo SA does not guarantee:

  • The accuracy, completeness, or reliability of responses generated by the models.
  • The continuous availability of the service or any particular route.
  • A specific result, particular performance, or fitness for a particular purpose.

Sealarca provides a general-purpose artificial intelligence service. Generated outputs may contain errors or inaccuracies and do not replace the judgment of a qualified professional. When used in a legal, medical, financial, or other regulated context, they must be subject to checks appropriate to the use case.

9. Limitation of Liability

Artificial intelligence models may produce errors, inaccuracies, or unpredictable content. The user remains responsible for reviewing outputs and decisions made on their basis. To the extent permitted by law, Eyelo SA shall not be liable for:

  • To the extent permitted by law, indirect damages, loss of profits, business interruption, or loss of opportunity.
  • Damage resulting from non-compliant, abusive, or unlawful use of the service.
  • Interruptions or changes to models, routes, or service features reasonably beyond Eyelo SA’s control.
  • Consequences of decisions made on the basis of generated outputs without appropriate review.
  • Content, instructions, or data submitted by the user in breach of law or third-party rights.

To the extent permitted by law, Eyelo SA’s total liability is limited to the amount actually paid by the user during the twelve months preceding the event giving rise to the claim.

These exclusions and limitations do not apply in cases of wilful misconduct, gross negligence, death or personal injury, or where liability cannot legally be excluded or limited. They do not limit Eyelo SA’s own obligations regarding security, billing, and the protection of data under its control.

10. Intellectual Property

Models accessible through sealarca.ch remain subject to their respective licenses and terms. Eyelo SA claims no ownership rights over those models.

  • Rights in generated content depend on applicable law and the license of the model used.
  • Elements specific to the Sealarca site, documentation, and service remain protected by applicable rights.

The user remains responsible for complying with model licenses, third-party rights, and the terms applicable to the models used. Use of Sealarca Desk or Sealarca Bridge may also be subject to the software licenses and notices distributed with the relevant software. These GTC govern use of the Sealarca service and do not constitute those software licenses.

11. Right of Refusal

Eyelo SA reserves the right to refuse, limit, or suspend user access in the event of:

  • Non-compliance with these GTC.
  • Legal, regulatory, or security risk.
  • Use incompatible with the service’s technical limits or likely to impair its operation.

12. Applicable law and registered office

These GTC are governed by Swiss law, excluding its conflict-of-law rules.

For business customers, the registered office of Eyelo SA is the reference location for any proceedings relating to these GTC, subject to any mandatory jurisdiction. For consumers, any mandatory jurisdiction provided by applicable law remains reserved. Nothing in these GTC deprives a consumer of mandatory protections that cannot be waived.
